The Merger & Acquisitions Leader (M&A Leader) will play a lead role in the sourcing, selection, financing, and execution of acquisitions and divestitures. The M&A Leader will serve as a trusted advisor to senior executive management and a key influencer on the business strategy. The M&A Leader will also provide leadership and counsel to senior management for complex and visible global merger and acquisition activity, including transaction structures, valuation matters, and negotiation strategies.

The role will interface with senior leadership of the company and the Board of Directors. In addition to the internal relationships, the M&A Leader will be required to have, maintain, and further develop relationships with investment banks, competitors, consultants, business partners, and trade associations. The role will report to Head of DuPont M&A, who reports to the Chief Executive Officer. The role is based in Wilmington, Delaware.

Your Key Responsibilities :

  • Provide leadership and counsel to senior management for complex and visible global merger and acquisition activity, including transaction structures, valuation matters, and negotiation strategies.

  • Develop creative solutions and alternative structuring options to meet strategic goals by integrating business, financial, legal, and personnel considerations into a cohesive solution.

  • Lead and staff the negotiating team by applying experience-tested best practices, including necessary resourcing, negotiating tactics, cultural dimensions, due diligence, and integration planning.

  • Manage all financial inputs for transactions by coordinating internal and external resources as applicable to each specific transaction.

  • Interact with functional leadership to ensure projects are aligned with Corporate objectives, policies, and practices.

  • Monitor emerging trends and develop appropriate strategy.

  • Develop and document best practices in areas including joint ventures, negotiation tactics, assessing cultural dimensions, due diligence data collection, integration planning, transitional service agreements, and other M&A matters.

Your Qualification Profile:

  • Master’s Degree in Business and equivalent work experience

  • Minimum 8 years of experience in M&A or combination of M&A and business development role

  • Excellent analytical, decision support and influence/negotiation skills and the ability to assist the business team in defining and executing business strategy plans and growth projects (e.g., ability to articulate financial issues and impacts in the business context)

  • Candidate must be a proven leader with strong global networking and teamwork skills

  • Strong computer skills in software applications; examples include but not limited to Excel and PowerPoint

  • Excellent communication skills required

  • Prior people leadership desired

  • Broad M&A experience would be desired, especially with companies that focus on healthcare, automotive, and aerospace & defense end markets.

  • Large / transformational transactions

  • Bolt-on / tuck-in transactions

  • Extensive financial leadership background with demonstrated ability to manage M&A transactions, integrate basic accounting, tax, and business analysis knowledge into creative business solutions.
